Edenred UAE Client Referral Program Terms and Conditions

1. Definitions and Interpretation

  1. In these Terms and Conditions, the following terms have the meanings set out below:
Term Meaning
Approved Channels The referral submission methods approved by Edenred for the Program, as notified to Participants from time to time, including the referral form available on the Edenred Payroll Website accessible via your credentials here.
Closed Won Has the meaning set out in clause 5.3.
Client A registered client of Edenred with an active account in good standing.
Duration The period during which Referrals may be submitted under the Program, starting on the Effective Date and ending on the End Date, unless terminated earlier in accordance with these Terms and Conditions.
Effective Date 9th March 2026
Edenred Edenred Prepaid Cards Management Services LLC, and any Edenred entity in the United Arab Emirates operating the Program.
Employee An individual directly employed by a company under an employment relationship.
Lead Has the meaning set out in clause 5.1.
Participant An eligible individual who is an Employee of a Client and who participates in the Program and submits a Referral in accordance with these Terms and Conditions.
PDPL UAE Federal Decree Law No. 45 of 2021 on the Protection of Personal Data, as amended and supplemented.
Personal Data Has the meaning given under the PDPL.
Program The referral program described in these Terms and Conditions (being the Promotional Event Program).
Prospect A company established in the United Arab Emirates that meets the eligibility criteria in these Terms and Conditions and is not an existing Client, and is not related to any existing account, as determined under clause 6.1.
Prospect Representative An individual employed by, or authorised to represent, a Prospect whose business contact details are submitted as part of a Referral.
Qualified Has the meaning set out in clause 5.2.
Referral A submission by a Participant of a Prospect and the minimum required information through the Approved Channels, made during the Duration.
Referral Date The date and time Edenred receives a Referral through the Approved Channels, as recorded by Edenred’s systems.
Referral Reward The reward payable by Edenred to a Participant for an eligible Referral that becomes Closed Won in accordance with these Terms and Conditions.
Services Edenred’s services offered to Prospects under the Program, including payroll services, as applicable.
Sensitive Personal Data Has the meaning given under the PDPL.
Terms and Conditions These Program terms and conditions, as may be amended from time to time in accordance with clause 11.
Verification Procedure(s)

Means the process and procedure by which Edenred will decide if a referred Prospect is deemed as Qualified.

The assessment that the Prospect will be put through to test this is as follows:

  • they are aware they have been referred to Edenred; and
  • they are interested in signing up as a Client with Edenred

2. Program Overview

  1. This referral program (the “Program”) is operated by Edenred in the United Arab Emirates only.
  2. The Program runs from the Effective Date and continues indefinitely, unless modified, suspended, or terminated in accordance with clause 11.
  3. Only Referrals submitted via Approved Channels will be entertained and considered as a Referral.

3. Eligibility

  1. The Program is open to all registered Clients of Edenred with an active account in good standing, provided that such Clients have not opted out from this Program being advertised to their Employees.
  2. Participants must be at least 18 years old and residents or citizens of the UAE to receive Referral Rewards.
  3. Employees of Edenred and WeSource are not eligible to participate in this Program.
  4. Prospects with a minimum size of 50 Employees and established in the United Arab Emirates, will only be deemed as a valid referral in order to be eligible for this Program.

4. Referral Submissions

  1. A Referral must be submitted via Approved Channels during the Duration of this Program.
  2. Any Referrals submitted prior to the Effective Date and after the Duration of this Program will not be deemed payable.
  3. Any Referrals submitted during the Duration of the Program via an incorrect or unapproved channel will not be deemed payable.

5. Referral Classification

  1. A Prospect is considered a “Lead” when Edenred receives the minimum required referral information, which at minimum should include all of the following:

    1. valid email address of a Prospect Representative;
    2. valid United Arab Emirates registered phone number of the Prospect Representative mentioned in (a);
    3. company name of the Prospect; and
    4. confirmation that the company is established in the UAE.
  2. A Prospect is deemed “Qualified” once the Prospect completes the due diligence and company Verification Procedure(s) and is approved by Edenred.
  3. A Prospect is registered as “Closed Won” only once the referred Prospect uses Edenred’s Service(s) at least once within three [3] months of being onboarded as a Client of Edenred, meaning the Prospect has processed at least one payroll run through Edenred (or other first qualifying transaction as notified by Edenred).

6. Referral Terms and Conditions

  1. If the Prospect referred to Edenred has (i) inquired about the Services in the past one [1] year in any capacity whatsoever prior to the Program or (ii) is an existing Client or related to any existing account, then the Referral Reward will not be applicable.
  2. Referral Reward will only be paid for new Client onboardings only and not renewals of existing Client’s.
  3. Referral Reward are only payable if the Prospect is deemed as Closed Won within six [6] months from the Referral Date made by a Participant.

7. Referral Restrictions

  1. A Participant may not refer themselves as a Prospect. Self referrals are strictly prohibited.
  2. Referrals must be genuine. Any attempt to create fake accounts or manipulate the system will result in disqualification.
  3. The below non-exhaustive list includes scenarios that may result in disqualification of a Referral:

    1. Referring Prospects that have zero [0] Employees hired by them directly. Prospects that exclusively only hire Employees on a consultancy basis, via man power supply companies or anything similar to that nature will not be deemed as valid Referrals.
    2. Referring Prospects to Edenred without obtaining the express consent of the Prospect Representative, in accordance with clause 9.2.3.
    3. Referring Prospects that are either (i) a subsidiary, parent company or part of the overall group structure of a Participant or (ii) directly or indirectly owned by a Client/Participant and or their Employees.
    4. Company registered outside of the United Arab Emirates.
  4. A Prospect may only be referred once. In the event a Prospect is referred by multiple Participants, the Participant that made the first valid Referral received by Edenred through the Approved Channels will be the only Participant that will be rewarded and all other Referrals will be deemed invalid.
  5. Edenred ensures fairness in such scenarios by tracking the time a submission is made digitally.
  6. Edenred shall not be responsible for any discrepancy in such data or any technical malfunctions or glitches that may occur due to its own fault, the Prospect’s fault or any other third party service provider Edenred may rely on to track such Referrals, provided that Edenred will use reasonable efforts to review and rectify system errors where identified.
  7. Edenred reserves the right of refusal of any Prospects or to withhold and revoke any rewards if it in its sole discretion suspects any fraudulent activity by a Participant or Prospect.

8. Program Conduct and Compliance

  1. By participating in the Program, the Participant(s) agree to:

    1. not misrepresent themselves as an Edenred employee, agent, or authorized spokesperson to any Prospect(s) or Client(s);
    2. not send spam or unsolicited messages through any medium (email, phone, social media, etc.) to the Prospect or Prospect Representative;
    3. not use automated bots, scripts, or other mass messaging tools in order to obtain potential Prospects, or to submit Prospect(s) and their information to Edenred;
    4. ensure all referral communications and information provided to Edenred comply with applicable laws and regulations of the United Arab Emirates, including privacy and data protection requirements; and
    5. not promote the Program in a way that violates individual rights, promotes hate, discrimination, or engages in deceptive practices.

9. Data Protection

9.1 Scope and Compliance

  1. This Clause applies to the collection and processing of Personal Data in connection with the referral program described in these Terms and Conditions (the Program), including referral submission, validation, contact with Prospects and their representatives, and administration of Referral Rewards.
  2. Edenred processes Personal Data in accordance with applicable UAE data protection laws, including Federal Decree Law No. 45 of 2021 on the Protection of Personal Data (PDPL), and, where applicable to Edenred’s regulated activities, any Central Bank of the UAE requirements relating to confidentiality and protection of customer and consumer data.

9.2 Roles and Participant Obligations

  1. Edenred role. For the operation and administration of the Program, Edenred acts as a controller in respect of Personal Data processed for Program purposes (including receiving referrals, recording and validating referrals, contacting Prospects, preventing misuse, and issuing rewards).
  2. Participant role. The Participant is responsible for ensuring that its collection and sharing of any Personal Data with Edenred for the purposes of making a referral complies with applicable UAE laws, including the PDPL.
  3. Consent and lawful sharing. The Participant must only provide to Edenred Personal Data relating to a Prospect Representative where the Participant has obtained that individual’s express consent to share their contact details with Edenred for referral follow up and related Program communications. For the avoidance of doubt, the Participant must not submit any Sensitive Personal Data or unnecessary information.
  4. Evidence. Edenred may request reasonable evidence that the required consent under clause 9.2.3 was obtained. If the Participant cannot provide such evidence, Edenred may reject the referral, treat the referral as ineligible, and or apply Program restrictions.

9.3 Personal Data Processed (Program Only)

  1. Participant data. Edenred may process the following Personal Data relating to Participants:
    (a) name, business email address, business phone number, employer and role;
    (b) referral submissions and Program activity, including referral status (Lead, Qualified, Closed Won, ineligible), timestamps, and communications; and
    (c) reward administration data, including reward eligibility and issuance status, and the email address used to deliver the Amazon gift card reward.
  2. Prospect Representative data. Edenred may process the following Personal Data relating to the Prospect’s representative submitted by a Participant:
    (a) name, business email address, business phone number, employer and role;
    (b) referral context information that is necessary to progress the referred opportunity; and
    (c) communications data, including records of contact attempts, responses, and opt out preferences.

9.4 Purposes of Processing

Edenred processes Personal Data for the following purposes:

  1. Program operations, including receiving referrals, recording and validating eligibility, and tracking referral outcomes;
  2. Prospect outreach, including contacting the Prospect Representative to confirm interest and provide information regarding Edenred services relevant to the referral;
  3. reward administration, including issuing and delivering Amazon gift card rewards, preventing duplicate claims, and auditing reward issuance;
  4. security and fraud prevention, including detecting suspicious activity and enforcing Program restrictions; and
  5. compliance, including meeting applicable legal, regulatory, audit, and record keeping obligations.

9.5 Disclosures to Third Parties

  1. Edenred may disclose Personal Data on a need to know basis to:
    (a) service providers engaged to support the Program, including CRM tools, communications tools, hosting and cloud providers, analytics providers, and customer support providers, subject to confidentiality and data protection obligations;
    (b) reward fulfilment providers and or Amazon or its authorised channels, to the extent necessary to deliver the Amazon gift card reward, typically limited to the Participant’s name, delivery email address, and reward reference or value; and
    (c) competent authorities, courts, law enforcement, and regulators where required or permitted by applicable law.
  2. Edenred does not sell Personal Data.

9.6 International Transfers

Personal Data may be processed outside the UAE where Edenred uses systems, infrastructure, or service providers located in other countries. Where cross border processing occurs, Edenred applies the transfer conditions and safeguards required under the PDPL.

9.7 Data Subject Rights

Subject to applicable law and permitted exemptions, a data subject may have the right to receive information about processing, request transfer of their Personal Data where technically feasible, request correction or erasure, request restriction of processing, and object to processing for direct marketing.

9.8 Retention

  1. Edenred retains Program Personal Data only for as long as necessary to operate the Program, validate referrals, administer rewards, resolve disputes, prevent fraud, and comply with applicable legal or regulatory obligations.
  2. Unless a longer period is required, Edenred will retain Program records for at least five (5) years from the later of:
    (a) the end of the Program, or
    (b) the date the relevant referral is concluded (including being closed, rejected, or determined ineligible)
    after which Edenred will securely delete or anonymise Personal Data in accordance with its retention controls.

9.9 Safeguards

Edenred implements technical and organisational measures designed to protect Personal Data against unauthorised access, disclosure, alteration, loss, or destruction, consistent with the PDPL security requirements applicable to controllers and processors.

10. Referral Reward Structure

  1. Referral Reward Structure:

    Participants may be eligible to receive the Referral Reward via an Amazon gift card, subject to these Terms and Conditions.

  2. Reward value:

    The value of the Amazon gift card will be calculated on the basis of the size of the company referred by a Participant and on the basis of the below table.

    Edenred reserves the right to update the below table and tiering system at its sole discretion with or without prior written notice.

  1. Reward delivery:

    Edenred will deliver the Amazon gift card to the email address provided by the Participant, within thirty [30] calendar days after Edenred confirms the Prospect is Closed Won and the Referral Reward is due and payable.

  2. A Referral Reward is only due and payable once Edenred has confirmed Closed Won status and all eligibility conditions have been satisfied.

11. Program Modifications and Termination

  1. Edenred reserves the right to at its sole discretion modify, suspend, or terminate the Promotional Event Program at any time without prior notice.
  2. In the event the Program is terminated, any pending referrals that have not been approved confirmed as Closed Won will not be eligible for rewards, unless Edenred notifies otherwise.
  3. Termination or suspension will not affect Referral Rewards that have already become due and payable prior to the effective date of termination.

12. Disclaimer

  1. Edenred provides the Program, including all related materials, communications, and rewards, on an “as is” and “as available” basis.
  2. Edenred makes no representations or warranties of any kind, whether express or implied, including but not limited to warranties regarding the accuracy, completeness, reliability, or availability of the Program or any related systems, platforms, or tools used to administer it. Edenred does not guarantee that any Prospect referred by a Participant will be approved, onboarded, or deemed a Closed Won Client.
  3. Edenred does not guarantee uninterrupted access to the Program and shall not be responsible for any delays, failures, errors, omissions, or interruptions arising from technical issues, system outages, third-party service providers, or circumstances beyond its reasonable control.

13. Limitation of Liability

  1. To the maximum extent permitted under applicable laws of the United Arab Emirates, Edenred, its parent companies, subsidiaries, affiliates, directors, officers, employees, and agents shall not be liable for any:

    1. indirect, incidental, special, punitive, or consequential damages;
    2. loss of profits, revenue, business opportunities, or anticipated savings;
    3. loss or corruption of data;
    4. claims arising from inaccurate, incomplete, or fraudulent information submitted by Participants or Prospects; or
    5. claims arising from technical malfunctions, system errors, or delays in processing referrals.
  2. In all cases, Edenred’s total aggregate liability to any Participant under this Program shall not exceed the actual value of the Referral Reward payable for a valid, Closed Won Client, and only where such reward is due and payable in accordance with these Terms and Conditions.

14. Indemnity

  1. By participating in the Program, the Participant and the Client agree to indemnify, defend, and hold harmless Edenred, its parent companies, subsidiaries, affiliates, directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to:

    1. the Participant’s breach of these Terms and Conditions;
    2. any inaccurate, misleading, or unlawful information submitted by the Participant;
    3. any violation of applicable laws, including UAE privacy and data protection regulations;
    4. any claim brought by a Prospect or third party relating to the Participant’s referral activities; or
    5. misuse of the Promotional Event, including fraudulent or deceptive conduct.
  2. Edenred reserves the right to assume exclusive control of any matter subject to indemnification, in which case the Participant and the Client agree to cooperate fully with Edenred in defending such matter.

15. Governing Law and Jurisdiction

  1. These Terms and Conditions and any dispute or claim arising out of or in connection with them are governed by the applicable laws of the United Arab Emirates.
  2. The Dubai Courts shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms and Conditions, except to the extent mandatory law provides otherwise.

16. Notices

  1. Edenred may provide notices and updates relating to the Program, including changes to the Duration, Approved Channels, and reward structure, via email, portal notification, the referral submission channel, or any other method Edenred reasonably determines.
  2. Participants must ensure their contact details remain accurate and up to date for the purposes of receiving notices and Referral Rewards.
